1. Enrollment and eligibility
To participate, you must create a Partner account and be approved (if approval is required). We may accept or reject applications in our
discretion. You must be able to enter into a binding agreement and comply with all applicable laws, including marketing, privacy, and
consumer protection laws.
2. Partner links and tracking
We provide Partners with one or more referral links (“Partner Links”). Tracking is performed using link parameters and/or cookies to attribute
eligible sign-ups or subscriptions to a Partner. We do not guarantee uninterrupted tracking, and tracking may be affected by customer settings,
browser restrictions, or user actions (including blocking cookies).
- Attribution window: 30 days from click (unless otherwise stated in your dashboard or program terms).
- Attribution rules: Last-click attribution unless otherwise stated.
- Disputes: attribution decisions are made by us based on our records and anti-fraud controls.
No “cookie stuffing”
Any attempt to force, inject, or conceal tracking (including cookie stuffing or deceptive redirects) is prohibited and may result in
forfeiture of commissions and removal from the Partner Program.
3. Commissions
Commission eligibility, rates, and qualifying events are described in your Partner dashboard or program listing (“Commission Terms”).
Unless otherwise stated, commissions are earned only on paid subscriptions that are successfully collected and not reversed.
- Qualifying event: typically an eligible paid subscription from a new customer acquired via your Partner Link.
- Exclusions: taxes, refunds, chargebacks, credits, and fees may be excluded from commissionable amounts.
- Changes: we may change commission rates or rules prospectively with notice via dashboard update or program update.
4. Holdbacks, refunds, chargebacks, and reversals
To protect against refunds, chargebacks, and payment failure risk, we may apply a holdback period before commissions become payable.
If a customer payment is refunded, charged back, reversed, or deemed fraudulent, the related commission is not payable and may be deducted
from future payouts or treated as a negative balance.
- Holdback period: 45 days after the qualifying payment (unless otherwise stated).
- Refunds/chargebacks: related commissions are reversed and may be netted against future earnings.
- Delinquency: unpaid/delinquent subscriptions do not earn commissions until collected.
- Fraud: fraudulent activity results in reversal and may result in termination from the program.
5. Payouts
Payouts are issued according to the schedule and minimum thresholds shown in your Partner dashboard (“Payout Terms”).
Payouts may be processed through third-party payout providers (such as Trolley). We may require identity verification and tax
documentation before issuing payouts.
- Payout schedule: Monthly, paid on the 15th for the prior full calendar month (or the prior Friday if the 15th falls on a weekend).
- Minimum payout threshold: $50.00 USD
- Payout method: via the payout method you configure in your Partner profile (subject to provider availability by region).
- Fees: transaction or payout fees may apply depending on payout method and region.
Withholding and adjustments
We may delay or withhold payouts to address suspected fraud or policy violations, missing required documentation, legal compliance requirements,
or to apply chargebacks, refunds, reversals, or other adjustments permitted under these Partner Terms.
6. Taxes
You are responsible for all taxes arising from your participation. We may require a W-9/W-8 or similar documentation and may report payments
as required by law. You are responsible for providing accurate tax information.
7. Marketing, branding, and disclosures
You may promote Workplace.io only in a truthful, non-deceptive manner. You must comply with advertising, endorsement, and consumer protection
rules, including clear disclosure that you may receive compensation.
- Disclosure: clearly disclose that you may earn a commission (or equivalent) where required.
- No misleading claims: do not make false claims about features, security certifications, or compliance status.
- No impersonation: do not present yourself as the Company or as an employee/agent of the Company.
- Brand use: use our logos/trademarks only as permitted and do not alter them without permission.
Certification claims
Do not claim Workplace.io is SOC 2 or ISO 27001 certified unless we publicly state that an attestation/certification has been completed.
8. Prohibited conduct (anti-fraud)
The following are prohibited and may result in commission forfeiture, chargebacks to your account balance, and termination:
- Self-referrals: referring yourself, your own organization, or transactions you control, unless explicitly allowed in writing.
- Incentivized sign-ups: offering cash-back, rebates, or prohibited incentives without written approval.
- Spam: unsolicited bulk email, automated messaging, or other spam tactics.
- Cookie stuffing / forced clicks: any method to create attribution without a genuine referral.
- Misrepresentation: false claims, fake reviews, or misleading endorsements.
- Unauthorized trademarks: bidding on our trademarks in search ads or using confusing domains/social handles, unless approved.
9. Data and privacy (Partner access)
We may provide Partners limited reporting about referrals (for example, counts and status such as “signed up,” “active,” or “canceled”).
Partners must treat any non-public information as confidential and comply with privacy laws.
- Minimum necessary: we provide only the information needed to operate the Partner Program.
- No resale: you may not sell, rent, or disclose referral information to third parties.
- Security: you must take reasonable steps to secure your Partner account and credentials.
10. Confidentiality
Non-public information about the Company, the Service, commissions, customers, pricing, and program operations is confidential.
You will protect it using reasonable measures and use it only for participation in the Partner Program.
11. Termination
You may terminate your participation at any time by discontinuing promotion and requesting closure of your Partner account.
We may suspend or terminate your participation for violations, suspected fraud, legal compliance, or program changes.
- Effect on commissions: upon termination, unpaid commissions may be forfeited if related to fraud or policy violations.
- Outstanding holdbacks: commissions in holdback remain subject to refunds/chargebacks and program rules.
- Survival: confidentiality, limitations, and other survival provisions remain in effect.
12. Disclaimers
THE PARTNER PROGRAM IS PROVIDED “AS IS.” WE DO NOT GUARANTEE THAT YOU WILL EARN ANY COMMISSIONS OR THAT TRACKING WILL BE UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES,
OR LOST PROFITS OR REVENUE, ARISING FROM THE PARTNER PROGRAM. TO THE EXTENT WE ARE LIABLE, OUR AGGREGATE LIABILITY UNDER THESE PARTNER
TERMS WILL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless the Company from claims arising from your marketing activities, your breach of these Partner
Terms, your violation of law, or your violation of third-party rights.
15. Governing law; venue
These Partner Terms are governed by the laws of the State of Delaware, excluding its conflict of laws rules.
Any dispute will be brought in the state or federal courts located in New Castle County, Delaware, and the parties consent to jurisdiction and venue.
16. Changes to the Partner Program
We may update the Partner Program, commission rates, payout rules, or these Partner Terms from time to time. We will provide notice through
your Partner dashboard or other reasonable means. Continued participation after the effective date constitutes acceptance.
